Notice of Change of Company Name
Effective April 7, 2026, Narimpex AG changed its company name to Nectaflor AG. This change solely concerns the company's name. The legal entity itself remains unchanged.This change of company name does not result in any changes for our customers. All existing contracts, rights, and obligations remain in full force and effect and continue seamlessly under Nectaflor AG. This applies in particular to existing orders, executed agreements, as well as any warranty and guarantee claims.The processing of personal data also continues unchanged and in accordance with the applicable data protection regulations. The change of company name does not affect the purpose, scope, or legal basis of data processing.
1. General Provisions and Scope of Application
1.1
These General Terms and Conditions ("Terms") govern the contractual relationship between Nectaflor AG ("Nectaflor") and all natural persons and legal entities using the products, services, or offers provided by Nectaflor AG ("Customer").Any terms and conditions of the Customer that conflict with or deviate from these Terms shall be binding only if expressly accepted by Nectaflor in writing.
1.2
These Terms apply to all orders placed by the Customer. The Customer agrees to these Terms by selecting the corresponding checkbox in the ordering system labeled "I hereby accept the General Terms and Conditions" or similar wording.
1.3
These Terms apply to the use of the website www.nectaflor.ch, all associated subdomains, and all other services and offerings provided by Nectaflor AG.
1.4 Nectaflor reserves the right to amend these Terms at any time. The version in effect at the time the contract is concluded shall apply. Customers are therefore responsible for reviewing the applicable Terms before placing each order.
2. Offers and Contract Formation

2.3 All products displayed in the online store are subject to availability. A contract is formed only when Nectaflor accepts the Customer's order. 3. External Factors Affecting Prices

4. Delivery and Shipping
4.1 Products shall be delivered to the address specified by the Customer. The billing address and delivery address may differ.
4.2 Nectaflor endeavors to process and deliver orders as quickly as possible. Standard delivery times are generally one (1) to two (2) business days following order confirmation.Delivery times may vary depending on product availability and other circumstances. Customers will be informed of any significant delays or changes. Nectaflor assumes no responsibility for delays caused by shipping or logistics providers.
4.3
For large-volume orders and gift sets, Nectaflor reserves the right to conduct an internal review before processing the order. This is intended to ensure product availability and timely delivery. In such cases, Nectaflor may contact the Customer to discuss details and confirm delivery schedules.
4.4 If a product is temporarily unavailable, the Customer will be notified by email.
4.5 Delivery shall be carried out by a shipping provider selected by Nectaflor.Packaging and transport insurance costs are included in the shipping charges and are payable as part of the order process.
4.6 For technical or logistical reasons, orders may be shipped in multiple packages.Customers are required to inspect the delivered goods for shipping damage immediately upon receipt.
4.7 In the event of force majeure, including but not limited to natural disasters, governmental actions, delayed or defective supplier deliveries, war, civil unrest, labor disputes, significant operational disruptions, epidemics, or similar circumstances, delivery and performance deadlines shall be extended by a reasonable period.
5. Transportation, Transfer of Risk, and Failure to Accept Delivery
5.1 Unless the parties have agreed otherwise or a specific place of performance results from the nature of the transaction, delivery shall be deemed fulfilled when the products are made available at the Seller's registered office.
5.2 Unless expressly agreed otherwise, the benefits and risks associated with the goods shall transfer from the Seller to the Customer upon dispatch of the goods.
5.3 If the goods cannot be delivered to the Customer at the delivery address provided, the Customer shall be liable to Nectaflor for the additional administrative effort incurred and shall pay a processing fee of CHF 40.00 per order.
6. Prices and Payment Terms
6.1
Prices displayed in the online store are stated in Swiss Francs (CHF). For private customers, prices include applicable VAT. For business customers, prices are quoted excluding VAT.Prices may be changed at any time without prior notice. The price applicable shall be the price in effect on the date the order is placed.
6.2
The prices stated in the order confirmation, plus applicable VAT, shall be binding. Unless otherwise agreed, all prices include packaging and freight costs to the agreed place of performance.Set-off or withholding rights may only be exercised by the Customer if expressly acknowledged by Nectaflor in writing.
6.3
If a Customer is in default on multiple invoices, payments received shall be applied first to the oldest outstanding invoice.If the Customer is overdue on at least one payment, Nectaflor shall be entitled to suspend further deliveries until all outstanding invoices have been paid in full.
6.4
Payment of the order value must be made using one of the payment methods offered in the online store before the order is completed.Business customers may request delivery against invoice. As a general rule, a registered commercial entity and the creation of a B2B account are required. Nectaflor reserves the right to deny business accounts and to refuse delivery against invoice.
6.5
Product prices and shipping charges may be adjusted from time to time. Current product offerings and applicable prices, including shipping costs, are available at www.nectaflor.ch.Special promotions and individually negotiated agreements remain reserved.
6.6
Unless otherwise agreed, invoices must be paid in full within ten (10) days from the invoice date or within the payment period specified on the invoice, without deduction.Failure to comply with the payment deadline shall automatically place the Customer in default, with or without a formal reminder. A customary default interest rate of 0.5% per month shall apply.
6.7
Nectaflor reserves the right to require advance payment for any order at any time, regardless of any previously agreed payment terms.
7. Warranty
7.1 The Customer must inspect the goods immediately upon receipt.
7.2 The warranty does not cover typing errors entered by the Customer, inadequate image quality (for example, low-resolution digital images), design errors caused by the Customer, incorrect product selections, incorrect quantities ordered, or any defects resulting from errors during the ordering process.
7.3 Warranty claims must be submitted in writing within five (5) business days after receipt of the goods. After expiration of this period, no warranty claims may be asserted.
7.4 In the event of a valid warranty claim, Nectaflor may, at its discretion, either replace the defective goods or issue an appropriate credit note, provided that the defective goods are returned by the Customer.Any further warranty claims are expressly excluded.

8.1 Inspection Requirement and Notice of Defects
Customers are required to inspect delivered or collected goods immediately upon receipt for accuracy, completeness, and any visible defects.
Any shipping damage, incorrect deliveries, incomplete deliveries, or apparent product defects must be reported to Nectaflor AG in writing within five (5) business days after receipt of the goods. The affected goods must be kept in their original condition and, where possible, in their original packaging until the matter has been resolved.
If no notice of defects is submitted within the specified period, the delivery shall be deemed accepted to the extent permitted by applicable law.
8.2 No Right of Return or Withdrawal for Defect-Free Goods
As a general rule, food products and other goods offered by Nectaflor are not eligible for return, exchange, or cancellation if they are free from defects.
Returns or refunds are excluded in particular for:
- products that do not meet the customer's expectations;
- products ordered by mistake;
- products that have been opened, partially used, or used;
- perishable goods and food products;
- products that are unsuitable for return for health protection or hygiene reasons;
- products manufactured according to customer specifications or personalized products.
Statutory warranty rights remain reserved in cases of proven defects or incorrect deliveries.
8.3 Returns for Defective or Incorrectly Delivered Goods
If a justified defect exists or incorrect goods have been delivered, Nectaflor AG may, at its sole discretion, replace the goods, refund all or part of the purchase price, or offer another appropriate remedy.
Nectaflor shall bear the costs of a justified return resulting from a defect, incorrect delivery, or incomplete delivery.
In the case of unjustified returns or returns made without prior authorization, the customer shall bear all associated costs.
Refunds will only be issued after the returned goods have been received and inspected.

Returns that cannot be assigned to an identifiable customer will be stored for two (2) months. After this period, the goods may be disposed of or placed into storage. Any claims for reimbursement or replacement shall expire after this period to the extent permitted by applicable law.
8.5 Order Cancellation
Orders become binding upon completion of the ordering process and acceptance by Nectaflor.
Cancellation, modification, or reduction of an order by the customer is not permitted once the order has been placed and accepted by Nectaflor.
9. Limitation of Liability
9.1 Nectaflor shall be liable only for damages resulting from the breach of a contractual obligation owed by Nectaflor or for damages caused intentionally or through gross negligence.
9.2 The maximum amount of damages recoverable shall be limited to the purchase price of the affected delivery.
9.3 Nectaflor shall not be liable for purely financial losses or for indirect, consequential, incidental, or secondary damages.
10. Severability
10.1 Should any provision of these Terms be deemed invalid or unenforceable, the remaining provisions shall remain fully effective.10.2The invalid provision shall be replaced by the applicable statutory provision.11. Governing Law and Jurisdiction11.1 These Terms are governed exclusively by Swiss law, in particular by the provisions of the Swiss Code of Obligations (Articles 184 et seq.).11.2 Any disputes arising out of or in connection with these Terms or the related contractual relationship shall be subject to the exclusive jurisdiction of the courts at Nectaflor's registered office in Biel/Bienne, Switzerland.Nectaflor reserves the right to initiate proceedings at the Customer's place of residence or registered office.
12. General Contest and Sweepstakes Terms and Conditions
These contest rules apply to all contests, sweepstakes, and promotional giveaways organized by Nectaflor, regardless of the platform on which they are conducted.
12.1 General Provisions
By participating in a contest, participants agree to Nectaflor's General Contest Terms and Conditions.Participants who violate the participation rules or gain an unfair advantage through manipulation may be excluded from the contest with immediate effect.Where grounds for exclusion exist, prizes already awarded may subsequently be revoked and reclaimed.Legal recourse is excluded.Participation is open to all natural persons aged 18 years or older residing in Switzerland.Employees of Nectaflor and their immediate family members are not eligible to participate.Participant data collected during the contest will be treated confidentially and will not be disclosed to third parties. 12.2 Prizes
